1. Who you are contracting with
SolidifAi is operated by BetterClosure Inc., a Florida corporation doing business as FlowClick, of 2125 Biscayne Blvd, Ste 204 #10484, Miami, Florida 33137, United States (“SolidifAi”, “we”, “us”). By creating an account, clicking to accept, or using the service, you (“Customer”, “you”) agree to these terms. If you are accepting on behalf of an organisation, you confirm you have authority to bind it, and “you” means that organisation.
You must be at least 18 and not barred from receiving services under applicable law.
2. The service
SolidifAi is a suite of customer-data and engagement hubs that run in one shared workspace on one customer record: PersonafAi (customer data platform), MagnifAi (customer engagement), BonifAi (CRM, sales and service), SatisfAi (loyalty and rewards) and IntensifAi (paid media), together with EdifAi (intelligence layer), JustifAi (attribution and analytics) and the SolidifAi Workspace and Marketplace, which are included with every hub, and ExemplifAi (the virtual organisation, licensed per seat). The service is provided at solidifai.app and at the product domains personafai.app, magnifai.app, bonifai.app, satisfai.app, intensifai.app, justifai.app, edifai.app, exemplifai.app and codifai.app, through a web console, APIs, webhooks and connectors.
Insights and AI output are assistance, not guarantees. Scores, segments, predictions, attribution, recommendations and AI-generated content are produced from your data and from models. They can be wrong or incomplete. We do not warrant that any of them is accurate, current or fit for a particular decision. You remain responsible for what you send, to whom, and for the decisions you make with the service.
3. Accounts, users and credentials
You are responsible for your workspace credentials, for every action taken under your users’ logins, API keys and connected tools, and for your users’ compliance with these terms. Named users may not be shared. Tell us promptly at security@solidifai.app if you believe a credential has been compromised.
API keys and access tokens are shown once at creation. We store only a one-way hash and cannot recover them for you; a lost key can only be replaced.
4. Plans, hubs and what is billable
SolidifAi is sold as a subscription per user, per hub. Every user in your workspace can use every hub you license. Your price is the plan’s platform fee, plus the number of users multiplied by the per-user price of each hub you license, plus any add-ons such as ExemplifAi seats. Current prices, minimum users and what each plan includes are published on the pricing page, which forms part of these terms at the time you buy.
- Team — no platform fee, billed monthly, from one user.
- Organization — platform fee, annual commitment billed yearly, minimum users as published.
- Regulated — platform fee, annual commitment billed yearly, minimum users as published, sold after a review by our team, with a Business Associate Agreement, customer-held encryption keys and seven-year data retention (section 9).
Adding users, hubs or seats during a period is billed from the date you add them. On annual plans you may add but not reduce users, hubs or seats before the end of the committed year. There is no free plan.
Usage that a hub meters separately — for example messages sent through a managed email, SMS or push provider, or AI usage beyond your plan — is charged at the rates shown in the console before you use it.
5. Payment
Payments are processed by Stripe. We never see or store your card number; card details are entered at Stripe’s hosted checkout. We retain only non-sensitive display details (brand, last four digits, expiry) so we can warn you before a card expires.
Fees are stated in US dollars exclusive of taxes, which you are responsible for where applicable. If a renewal payment fails, we will email you and your subscription enters our payment provider’s retry process. If retries are exhausted, the subscription is cancelled and your workspace becomes read-only until payment is made or the account is closed under section 11.
6. Cancellation and refunds
You can cancel a monthly subscription at any time from the console. Cancellation is self-serve — no phone call and no retention queue.
Cancellation takes effect at the end of the period you have already paid for. You keep your plan until that date and are not charged again. An annual commitment runs to the end of the committed year: you may give notice of non-renewal at any time, and the subscription then ends at the end of that year.
We do not give refunds for partial periods. Because cancellation runs to the end of the paid period, you receive the full period you paid for. We may issue a refund at our discretion where we have made a billing error, and in the one case set out in clause 6 of the DPA.
7. Price changes
We may change prices for future billing periods on at least 30 days’ notice to your billing contact. A change never applies to a period you have already paid for, and never applies to an annual commitment before its renewal date. If you do not accept a change, cancel before it takes effect.
8. Your data and the rights you grant us
You keep ownership of the data you and your users put into the service, including the contacts, companies, deals, events, messages, loyalty and media data you import or collect (“Customer Data”). You grant us a non-exclusive licence to process Customer Data only to provide, secure and support the service for you, and to your users to access it.
We do not pool your data. Customer Data is isolated to your workspace. We do not combine it with other customers’ data, we do not sell it, and we do not use it to train models shared with other customers.
We may use aggregate, non-identifying statistics about service usage (for example request counts and feature usage) to operate and improve the service.
9. AI features
Assistants, generation, scoring and other AI features run under the AI policy you set for your workspace: which features are on, which model providers may be used, and what data they may see. Prompts and Customer Data are sent to a model provider only when a feature you have enabled needs them, and only to providers your AI policy allows.
- Customer Data and prompts are not used to train models shared with other customers, by us or, under our agreements with them, by the model providers we use.
- You may bring your own model keys. Calls made with your keys are governed by your agreement with that provider as well as these terms.
- You are responsible for reviewing AI output before you rely on it or send it to anyone.
On the Regulated plan the workspace uses customer-held encryption keys for the data the plan protects, keeps customer data for seven years, and starts with a locked-down AI policy.
10. Your responsibilities for personal data
You are the controller of the personal data in Customer Data. You confirm that you have a lawful basis to process it and to instruct us to process it on your behalf, that you have given any notices and obtained any consents your law requires — including consent for marketing messages and for tracking on your own sites and apps — and that your instructions will not put us in breach of data protection law.
Our Data Processing Addendum forms part of these terms and applies automatically where we process personal data on your behalf. You do not need to sign it separately. If you process protected health information, you must be on the Regulated plan and accept the Business Associate Agreement first; you must not put protected health information into any other plan.
11. Connected services
You can connect third-party services to your workspace — email, SMS and push providers, ad platforms, payment providers, model providers, MCP servers and other tools. When you do, data flows between SolidifAi and that service on your instruction, and the third party’s own terms govern its side. We are not responsible for a connected service’s acts or availability. Ad platforms receive data only when you connect them and send audiences or conversions to them.
12. Acceptable use
Your use must comply with our Acceptable Use Policy, which forms part of these terms.
13. Suspension and termination
We may suspend or terminate your access where you materially breach these terms or the AUP, where your use threatens the security, integrity or availability of the service, or where we are required to by law. Where circumstances allow, we will give notice and an opportunity to cure. For a suspected imminent harm — abusive sending, an attack on our infrastructure, unlawful data — we may suspend first and explain promptly afterwards.
When an account is closed, your API keys stop working immediately and a 30-day grace period applies during which the account can be restored and you can export your data. After that, deletion is irreversible, except for the records listed in the Privacy Policy that we must keep, and except that on the Regulated plan data covered by the seven-year retention commitment is kept for that period unless you instruct otherwise in writing.
14. Intellectual property and feedback
We retain all rights in the service, our software, models, templates and documentation. You retain all rights in Customer Data and in content you create with the service. If you send us feedback or suggestions, we may use them without obligation or compensation.
15. Confidentiality
Each party will protect the other’s non-public information with at least reasonable care and use it only to perform under these terms. This does not apply to information that is public, independently developed, lawfully received from a third party, or required to be disclosed by law (with notice where permitted).
16. Disclaimers
Except as expressly stated, the service is provided “as is” and we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the service will be uninterrupted or error-free, that messages will be delivered, or that any score, insight, prediction or AI output is accurate, complete or current. We offer no uptime commitment under these terms; any service level we agree separately will say so in writing.
17. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, nor for lost profits, revenue, goodwill or data, however caused.
Our total aggregate liability arising out of or relating to these terms will not exceed the fees you paid us in the twelve months before the event giving rise to the claim.
These limits do not apply to your payment obligations, to either party’s indemnity obligations, or to liability that cannot be limited by law.
18. Indemnity
You will defend and indemnify us against third-party claims arising from Customer Data, from messages you send or ads you run through the service, from your breach of these terms or the AUP, or from your lack of a lawful basis or consent for the data you process. We will defend and indemnify you against third-party claims that the service as provided infringes that party’s intellectual property rights.
19. Changes to these terms
We may update these terms. For material changes we will give at least 30 days’ notice to your billing contact, and the change applies from the start of your next billing period (for annual plans, from your next renewal). Continuing to use the service after that date means you accept the change. The “last updated” date at the top always reflects the current version.
20. General
These terms, with the AUP, the DPA, the Business Associate Agreement where it applies, and any order form, are the entire agreement between us. You may not assign them without our consent; we may assign them to an affiliate or in connection with a merger or sale of assets. If a provision is unenforceable, the rest stands. A failure to enforce is not a waiver. Nothing creates a partnership, agency or employment relationship.
21. Dispute resolution, arbitration and class action waiver
Please read this section carefully. It changes how disputes between us are resolved, and it limits your right to bring a claim in court or as part of a class. You can opt out of it within 30 days.
Talk to us first. Before starting an arbitration, you agree to email legal@solidifai.app with a short written description of the dispute and the relief you want, and to give us 30 days to resolve it. We will do the same before bringing a claim against you.
Binding arbitration. If that fails, any dispute arising out of or relating to these terms or the service will be resolved by final and binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, before a single arbitrator, seated in Miami-Dade County, Florida. The arbitrator decides all issues, including the scope and enforceability of this section, except those reserved to a court below. Judgment on the award may be entered in any court of competent jurisdiction. Each party bears its own costs unless the arbitrator decides otherwise.
Exceptions. Either party may, without arbitrating first, (a) bring an individual claim in small-claims court, and (b) seek injunctive or other equitable relief from a court to protect intellectual property or confidential information, or to stop unauthorised access to the service.
Class action and jury trial waiver. Disputes are arbitrated only on an individual basis. You and we each waive any right to bring or take part in a class, collective, consolidated or representative action, and the arbitrator may not consolidate claims or preside over any representative proceeding. Both parties waive any right to a jury trial. If this paragraph is held unenforceable as to a particular claim or remedy, that claim or remedy is severed and proceeds in court under section 22, and everything else stays in arbitration.
Opting out. You may reject this section by emailing legal@solidifai.app within 30 days of first accepting these terms, giving your account email and saying you opt out of arbitration. Opting out affects nothing else about your account.
Where this does not apply. This section does not apply where arbitration or a class waiver is unenforceable under mandatory law applicable to you. Those disputes are resolved under section 22.
22. Governing law and venue
These terms are governed by the laws of the State of Florida, United States, without regard to its conflict-of-laws rules. For any dispute not subject to arbitration under section 21, the exclusive venue is the state and federal courts located in Miami-Dade County, Florida, and both parties consent to personal jurisdiction there. The UN Convention on Contracts for the International Sale of Goods does not apply.
